These Terms & Conditions (“Terms”) constitute a legally binding contract between you and IN2CORE, s.r.o., a business entity registered at Agatova 33, 900 27 Bernolakovo, Slovakia (“IN2CORE”, “our”, “us”, “we”, “Company”) and set your rights and responsibilities when using our services (“Services”), e.g.:

• browsing the websites in2core.com or screenport.io we maintain (“Websites”),
• contacting us to receive pre-sale or post-sale support (“Support”), or purchasing products we manufacture (“Company Products”) or resell under the authorisation of a third party (“Third-Party Products”), (together also “Products”).

IF YOU DISAGREE WITH THESE TERMS OF USE OR DO NOT MEET THE ELIGIBILITY CRITERIA FOR A BUYER, DO NOT USE OUR SERVICES OR BUY PRODUCTS FROM OUR COMPANY. IF YOU HAVE ENTERED INTO ANOTHER AGREEMENT WITH US CONCERNING SPECIFIC PRODUCTS OR SERVICES, THEN THE TERMS OF THAT AGREEMENT CONTROL WHERE IT CONFLICTS WITH THESE TERMS.

User Conduct

Use the Website responsibly and professionally. Do not misuse the Website, e.g. you must not: copy, modify the Website; access or attempt to access the Website by any means other than the interface we provided; attempt to disable or impair the Website; violate any laws in connection with your use of the Services.

Purchases

The available Products are listed in the online catalog.

Eligible Buyers

IN2CORE exclusively sells to business entities (“Buyer”, “you”, “your”) including sole proprietors and companies (B2B), and does not engage in business-to-consumer (B2C) transactions. This also means that we don’t offer our services and products to minors. Also, if you are accepting these Terms on behalf of a company, you declare that you have the authority to enter into a legally binding contract on behalf of the company.  The Buyer also acknowledges that the Company does not ship to, nor allows re-export to certain sanctioned countries: Russia, Belarus, Iran, Syria, Cuba and North Korea.

Prices and VAT

Prices displayed in the catalog are shown both excluding and including VAT. VAT-free purchases are available to buyers registered outside the European Union, as well as buyers registered within the European Union who can provide a valid VAT ID, verifiable through the VIES VAT validation system.

Product Availability

Product’s stock status is specified on the Product’s listing page as:

• In Stock – The Product is available in the Company’s inventory and ready for immediate shipment. Once the payment is received, the item will be processed and shipped without delay.
• On Backorder – The Product is temporarily out of stock, but more units are expected to arrive. Buyer can still place an order, but fulfillment will be delayed until the stock is replenished. The estimated restock date is usually provided.
• Custom Order – The Product is not regularly kept in stock and is made specifically based on the Buyer’s request. This option typically applies to specialized or high-value equipment from a third-party.

Request for Quote

To purchase a Product, the Buyer must first submit a Request for Quote on the Company Website, providing accurate and up-to-date business information (including company name, shipping ZIP and country, contact email, and VAT number, if applicable), selected payment method and the list of selected Products.

Official Quote

The Company will process the Request for Quote and provide the Buyer with an Official Quote within two (2) business days from receipt of the request. The Official Quote will show the final purchase price – with applicable discounts, shipping fees, payment processing fees or taxes related to the purchase as rendered on the Company’s side of the transaction.

The Buyer acknowledges that the Official Quote does not include fees rendered on the Buyer’s side, such as customs fees or additional local taxes, and that it has familiarized itself with the import duties specific to the country of destination before accepting the Official Quote.

The Buyer also acknowledges that in certain cases – depending on location of the Buyer, ongoing promotions, Buyer eligibility criteria, Company’s contractual obligations etc. – the Company may choose to recommend an alternative seller to better accommodate the Buyer’s Request for Quote. When the Buyer chooses to accept the Official Quote from this alternative seller, which is an independent entity separate from the Company, the terms and conditions of that seller will govern the purchase, and these Terms will not apply.

Acceptance of the Official Quote (Orders)

Each Official Quote is valid for a limited time, with an expiration date clearly stated on the Official Quote. If pricing, availability or any significant terms of the Official Quote change between its issuance and acceptance, the Company will notify the Buyer (or vice versa, if the Buyer will request changes to the Official Quote) and provide an Amended Official Quote requiring a new Buyer consent.

To accept the Official Quote, the Buyer shall approve it in writing and provide further details for order processing, such as the accurate and complete billing and shipping address, contact person, contact phone number, email for shipment delivery, and other details as requested by the sales team to process the order.

The acceptance of the Official Quote constitutes an Order and the Buyer acknowledges that it creates a binding obligation for payment. The Buyer’s Order must match all details provided in the Company’s Official Quote (such as shipping address ZIP and country, VAT ID, etc.), otherwise the Official Quote and the Order is rendered invalid.

Payments

The Payment for an Order has to be made in accordance with the instructions provided by the sales team. Accepted payment methods include wire transfers, Visa/MasterCard/American Express Visa/MasterCard/American Express credit card payments and Revolut-to-Revolut transfers. For orders above 5.000 EUR/ USD, wire transfers and Revolut-to-Revolut are the only accepted payment methods. Once the payment is received in full, the Company will proceed with Order fulfillment. Also, once the Payment has been received, it is not possible to cancel the Order.

Delivery

Orders will be shipped via courier services, such as FedEx or DHL, with tracking information provided. Estimated shipping times within Europe are approximately 2 business days, worldwide approximately 3 – 6 business days. These estimates exclude customs processing procedures and business holidays.

Post-Purchase Services

Customer and Tech Support

The Buyer may seek assistance regarding Product installation, use or troubleshooting by creating a support ticket. Support is generally available Monday to Friday, from 9:00 AM to 5:00 PM CET, excluding Slovak business holidays. Product-specific user guides can be accessed via their respective listing pages in the online catalog. User guides for Company Products are also available at in2core.com/manuals.

Warranty Repairs & Returns

Company Warranty terms apply to all purchases of Company Products. Manufacturers warranty terms apply to purchases of  Third-Party Products. By accepting the Official Quote, the Buyer also agrees to the related warranty terms. The warranty terms can be usually found on the respective Product listing pages in the online catalog or requested from the sales team.

Legal & Misc 

Software

Some Products may include pre-installed software, such as firmware or other embedded applications necessary for the device’s operation (“Software”). The Buyer acknowledges that such Software may be subject to separate license terms provided by the manufacturer or software developer. Unless expressly stated otherwise, the purchase of hardware does not grant the Buyer any ownership rights to the Software, but only a limited, non-exclusive, non-transferable right to use it as intended with the purchased hardware. The Buyer agrees to comply with all applicable Software license terms and restrictions. Unauthorized modification, reverse engineering, or redistribution of the Software is strictly prohibited unless expressly permitted by the applicable license. The Company shall not be liable for any issues arising from Software updates, compatibility, or third-party licensing terms.

Compliance

Available compliance certificates can usually be found in respective Product listing pages in the online catalog and/or can be obtained by contacting us. If the import of the Products to or their operation in the destination country requires fulfilling additional legal requirements beyond those provided by the manufacturers, the Buyer agrees to obtain all necessary permissions and ensure legal compliance.

Data Processing

We may collect personal and/or anonymized data about you when you use our Services and/or purchase our Products. The processing of such data is conducted in accordance with applicable data protection laws. Further details regarding data collection, processing, storage, and your privacy rights are outlined in the Company’s Privacy Policy and Cookies Policy.

Trademarks

All product names, trademarks, trade names, photos, logos, and brand elements displayed on the Company’s Websites and materials are the property of their respective owners. The Buyer is not granted any license or right to use any trademarks, trade names, or logos without the prior written consent of the respective owner. Unauthorized use of any Company or third-party trademarks may result in legal action.

Additional Terms

Product purchases can be governed by their own additional terms of use, privacy notices, order terms, etc., and before purchasing the Products, you should familiarize yourself with their provisions. Such terms can usually be found in respective Product listing pages in the online catalog and/or can be obtained by contacting us.

Notices

The Buyer and the Company agree that electronically confirmed communication with proof of delivery (excluding auto-replies) shall be considered a valid method of delivering notices (including acceptance of Official Quotes) under these Terms.

Choice of Law

The Slovak Republic is our country of domicile. These Terms and all disputes arising out of or relating to these Terms shall be governed by and interpreted in accordance with the Slovak laws, without regard to where in the world you live. In the event of any dispute arising from or related to these Terms, the Parties agree to first attempt to resolve the matter amicably through an independent mediator in the Slovak Republic.

Termination

We may modify, update, or discontinue our Services and Products at any time without liability to you or anyone else. However, we will make reasonable efforts to notify you before we make the change.

Warranties and Liability

Except as expressly stated in these Terms, the Products are offered “as is” and “as available”, without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. The use of our Services is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy and effort is with you. We do not represent or warrant that providing our Services will be uninterrupted, error free or secure. To the maximum extent permitted by law, IN2CORE shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. In any case, IN2CORE’s total liability shall not exceed the amount paid by the Buyer for the Products in the six (6) months preceding the claim.

Updates

These Terms may be updated periodically. Any updates we may make will be posted on the Websites and will be effective upon posting the updates. You are responsible for reviewing and becoming familiar with any updates. The version of the Terms in effect at the time of the Buyer’s acceptance of the Official Quote shall apply to the purchase. Your use of the Websites following the updates constitutes your acceptance of the updated Terms. We encourage you to periodically review the Terms (generally found in the footer of the Websites) for the latest information.
